These terms will govern access to and use of the YachtX platform by management companies, their personnel, owners and prospective owners. The headings below reflect the sections the final agreement is expected to contain.
1. Scope and parties
Identifies the platform operator, the customer organization holding a subscription, and the individual users granted access through that organization.
2. Platform role
YachtX provides software for recording and administering co-ownership programmes. YachtX is not a party to any ownership, charter, brokerage or management agreement between an organization and its owners, and does not operate vessels.
3. Accounts and access
Eligibility, account security, role-based access, and the responsibility of each organization for the users it invites.
4. Subscriptions, fees and taxes
Plan tiers, billing period, renewal, upgrade and downgrade handling, late payment, and applicable taxes.
5. Customer data and records
Ownership of customer records, permitted processing, export on termination, and retention of financial and governance records.
6. Acceptable use
Incorporates the acceptable use policy by reference.
7. Third-party services
Payment processing, email delivery, storage and AI features supplied by third-party providers, and the terms that flow through from them.
8. Service levels, support and changes
Availability expectations, maintenance windows, and how material changes to the service are communicated.
9. Warranties and disclaimers
No warranty is given that platform records satisfy any particular legal, tax, securities or regulatory requirement in a given jurisdiction. Organizations remain responsible for their own compliance and advice.
10. Limitation of liability
Caps and exclusions, to be set following legal review.
11. Suspension and termination
Grounds for suspension, cure periods, effects of termination, and data export windows.
12. Governing law and disputes
Governing law, venue and dispute resolution, to be confirmed per operating jurisdiction.
